- About ICOM and the Website
International Communications Agency Network Inc. (hereinafter referred to as “ICOM”) is a global agency network of independent marketing agencies. ICOM is the owner and operator of the icomagencies.com website and other ICOM owned and operated websites, such as connecttogrow.net, connecttogrow.co, connecttigrow.biz. The Website is composed of various web pages operated by ICOM. “Website” shall be defined herein to include icomagencies.com, connecttogrow.net, connecttogrow.co, connecttigrow.biz, any subdomains and all other web pages operated or hosted exclusively by ICOM.
The Website and its services may only be used in accordance with these Terms. ICOM makes no warranties, representations or claims of any kind with respect to any of the information on this Website, including without limitation the accuracy, completeness and suitability for any purpose of this information. Under no circumstance shall ICOM or any of its staff involved in the creation or delivery of the material on this Website be liable to you or anyone else as a result of damages from your access or use of material on this Website.
Any references to “our”, “us” or “we” within these Terms shall mean ICOM.
We reserve the right to modify, suspend, or discontinue the Website or its services at any time, with or without notice. We may also update these Terms, and continued use of the Website constitutes acceptance of the updated Terms.
- Acceptance of Terms
These Terms of Use (“Terms”) apply to your use of the Website. By accessing or using the Website, including any service offered through it, you (the “User”) agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to use the Website. We encourage you to review these Terms regularly, as continued use of the website constitutes acceptance of any updates or changes.
Certain features of the website, including our exclusive member portal “Connexion”, require registration. To register and access these features, you must provide certain information about yourself and explicitly agree to these Terms by selecting an “I agree” checkbox. By completing registration, you acknowledge that you have read, understood, and accepted these Terms.
- No unlawful or prohibited use
As a condition of your use of the Website (including all features and services provided therein), you warrant to ICOM that you will not use the Website for any purpose that is unlawful or prohibited by these Terms. You may not use the Website in any manner which could damage, disable, overburden, or impair the Website or interfere with any other party’s use and enjoyment of the Website. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Website, including, but not limited to, data mining, robots, or similar data gathering and extraction tools.
- Exclusive Member Portal “Connexion”
We provide an exclusive member portal (“Connexion”) on our website. Registration for Connexion is free of charge and voluntary. By registering, you gain access to additional features and services offered to support connection and knowledge-sharing across our global network. The features made available include, among others, data sharing through a resources section with folder-based access, an announcement wall for network updates and events for which users can register, key initiatives, where members can post User Generated Content and the ability to provide your contact information to connect with other members.
In order to access Connexion and the features and services provided therein, you may be required to provide certain information about yourself, such as your first name, last name, and email address (collectively, “Registration Information”). You agree that the Registration Information and all personal information that you provide will be accurate, current, and complete, and that you will keep this information up to date at all times. You must notify us of any changes to such personal information.
You are solely responsible for maintaining the confidentiality of your log-in data, including your password, and for all activities that occur under your account. You agree to notify ICOM immediately upon becoming aware of any unauthorized access to or use of your password or account. If you become aware of any unauthorized use of your password or of your account, you agree to notify us immediately at [email protected].
You may not post, upload, or otherwise make available any User Generated Content on the Website that violates these restrictions, is unlawful, or infringes the rights of others. All content you submit must comply with these Terms and must not interfere with the Website or the rights of other users. You represent and warrant that your User Generated Content on Connexion:
- Is original to you or if not original you have obtained all rights necessary from the rights holder(s) and in all cases the User Generated Content is fully cleared as described above, and
- Does not and will not, in any way, violate or breach these Terms, any other agreement by which you may be bound, the rights of any other party, or any law, rule, regulation or court order.
If your User Generated Content incorporates a name, logo, brand, service or trademark, voice, documents, likeness or image of any person, firm or enterprise, you represent and warrant that you have the right to place such User Generated Content in the public domain.
Especially, you must not:
- Violate any applicable laws or regulations;
- Infringe the rights of others, including intellectual property or privacy rights;
- Post viruses, malware, or other harmful code;
- Attempt unauthorized access to the Website or user accounts;
- Interfere with or disrupt the Website’s services;
- Harass, abuse, or harm other users;
- Engage in any activity that could damage, disable, or impair the Website.
We may investigate and take action against violations, including suspension or termination of your account, removal of content, and legal action, as deemed necessary.
4.1 Notice-and-Action Procedure regarding Connexion
ICOM has no obligation to monitor the User Generated Content and cannot verify the accuracy of statements that users make or place on Connexion. Users and third parties may notify us of allegedly illegal content available on our platform (“Notice”). A Notice must include:
- a description of the content and its location (e.g. URL),
- reasons why the content is considered illegal,
- contact details of the reporting person,
- a good-faith declaration that the information provided is accurate.
All notices, comments, and concerns of violations of these Terms can be made to [email protected].
Upon receipt of a Notice, we will promptly and carefully review it.
If the reported content is found to be illegal or in violation of these Terms, we will take appropriate measures, in particular removal of the content, or disabling access to the content.
We will inform the reporting person of the outcome of our review and of any measures taken. The person who provided the content will likewise be informed about the Notice and our decision. In both cases, we will provide the essential reasons for our decision. The affected person whose content has been removed or disabled has the right to lodge a complaint against our decision within six months to [email protected].
4.2 Submissions
ICOM does not claim ownership of the materials you provide to ICOM (including feedback and suggestions) or post or upload to any Website (collectively “Submissions”), including updates to Connexion. However, by posting, uploading or submitting your Submission you are granting ICOM and necessary sub-licensees a worldwide, royalty-free, non-exclusive, fully sublicensable permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission.
No compensation will be paid with respect to the use of your Submission, as provided herein. ICOM is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in ICOM’s sole discretion.
By posting, uploading or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions. You represent and warrant that you have all necessary rights to grant this license and that your Submissions do not violate these Terms, any applicable law, or the rights of any third party.
- Limitation of Liability
This website and its content are provided “as is” and ICOM excludes to the fullest extent permitted by applicable law any warranty, express or implied, including, without limitation, any implied warranties of merchantability, satisfactory quality or fitness for a particular purpose. The functions embodied on, or in the materials of, this website are not warranted to be uninterrupted or without error. You, not ICOM, assume the entire cost of all necessary servicing, repair or correction due to your use of this website.
To the maximum extent permitted by applicable law, in no event shall ICOM be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the website, with the delay or inability to use the website or related services, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the website, or otherwise arising out of the use of the website, whether based on contract, tort, negligence, strict liability or otherwise, even if ICOM has been advised of the possibility of damages. If you are dissatisfied with any portion of the website, or with any of these Terms, your sole and exclusive remedy is to discontinue using the website.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above disclaimers may not apply to you. In such jurisdictions, ICOM’s liability will be limited to the greatest extent permitted by applicable law.

The Website may include hyperlinks to other websites, content or resources. We have no control over any websites, content or resources provided by third parties. You acknowledge and agree that we are not responsible for the availability of any such external sites or resources, and do not endorse any advertising, products or other materials on or available from such websites or resources. You acknowledge and agree that we are not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such third-party websites or resources.
- Access Restriction and Termination
ICOM reserves the right, in its sole discretion, to restrict, suspend or terminate your access to the Website and the related services or any portion thereof at any time, without prior notice, especially if the user violates these Terms, compromises the security of the website, or otherwise breaches applicable law.
When your use of the Website comes to an end, all of the legal rights, obligations, and liabilities that you and ICOM have benefited from, been subject to (or which have accrued over time), or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of these Terms shall continue to apply to such rights, obligations, and liabilities indefinitely.

The names of member firms, companies and products mentioned within the Website may be the trademarks of their respective owners. You may not use, reproduce, or otherwise exploit any trademarks without the prior written consent of the respective owner.
- Miscellaneous
These Terms constitute the entire agreement between you and ICOM regarding your use of the Website.
You agree that if ICOM does not exercise or enforce any legal right or remedy which is contained in the Terms (or which ICOM has the benefit of under any applicable law), this will not be taken to be a formal waiver of ICOM’s rights and that those rights or remedies will still be available to ICOM.
If any provision of these Terms is found invalid or unenforceable by a court of law with jurisdiction over this matter, such provision shall be severed from these Terms, and the remainder of the Terms shall remain in full force and effect.
These Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by the laws of the State of New York. You and us, we both agree to the exclusive jurisdiction of the District Court of the Southern District of New York and of any Federal District Court sitting in New York, New York. Any disputes arising out of or in connection with these Terms shall, where legally permissible, be subject to the exclusive jurisdiction of the courts located in New York, New York. Notwithstanding the foregoing, if you are a consumer with mandatory local rights, you may also bring proceedings before the competent court in your place of residence.
